Terms of service

CONSTFACTOR (hereinafter referred to as "the Company") establishes the following terms of use (hereinafter referred to as "these Terms") for constfactor.com (hereinafter referred to as "this Service") operated by the Company. By accessing this Service, you agree to these Terms.

[Article 1: Scope of these Terms]
These Terms apply to the use of this Service by the Company and all users of this Service, including members (as defined in Article 3).

[Article 2: Changes to the Terms]
The Company reserves the right to change these Terms by notifying the users in a manner deemed appropriate by the Company, without obtaining prior consent from the users.

[Article 3: Use of the Service]
Users shall use this Service in accordance with these Terms and other rules separately set by the Company.
The Company reserves the right to change the content of this Service without prior consent from the users.
The Company may suspend the use of this Service for operational or other reasons.

[Article 4: Membership]
A member is an individual who applies for membership registration following the procedures specified by the Company, agrees to these Terms, and is approved by the Company.

[Article 5: Membership Registration]
Membership registration is required to use this Service and purchase products.
If it is found that the applicant has violated these Terms in the past or has been subject to disciplinary actions such as cancellation of membership, or if the registration application contains false information, or if the Company deems the application inappropriate, the Company may refuse the registration.

[Article 6: Notification of Changes]
If there are changes to the member's name, address, phone number, or other information previously provided to the Company, the member shall promptly notify the Company using the method specified by the Company.

[Article 7: Suspension of Service and Cancellation of Membership]
The Company may suspend the use of the Service or cancel the membership without prior notice if the member falls under any of the following circumstances:

If it is found that the member has violated these Terms or has been subject to disciplinary actions such as cancellation of membership in the past
If false information is found in the membership registration application
If there is a delay in payment or non-fulfillment of obligations related to this Service
If the member engages in prohibited actions as defined in Article 8
If the member violates any other provisions of these Terms

[Article 8: Prohibited Actions]
Members and users are prohibited from engaging in the following actions:

Submitting false information in the membership registration application
Interfering with the operation of this Service or engaging in actions that may hinder the Service
Improperly using IDs and passwords
Engaging in actions that may cause inconvenience, harm, or damage to other users, members, third parties, or the Company
Infringing upon the intellectual property rights, privacy, or other rights of other users, members, third parties, or the Company
Engaging in actions that violate public order and morals, laws, or other regulations
Engaging in any other actions deemed inappropriate by the Company

[Article 9: Management of IDs and Passwords]
Members are responsible for managing their IDs and passwords issued by the Company or set by themselves.
Members shall not transfer, lend, or disclose their IDs and passwords to third parties.
Members are responsible for any damages caused by insufficient management, errors in use, or misuse by third parties of their IDs and passwords.
If a member discovers that their ID and password are being used improperly by a third party, they must immediately notify the Company.

[Article 10: Copyright]
Users shall not use any information provided through this Service beyond the scope of private use permitted under copyright law without obtaining permission from the rights holder.
If a problem arises due to a violation of this Article, the user shall resolve the issue at their own responsibility and expense and shall not cause any inconvenience or damage to the Company.

[Article 11: Purchase of Products]
Members or users may purchase products or services (hereinafter referred to as "Products") from the Company through this Service.
To purchase Products, members or users shall apply for the purchase or use of services according to the method specified by the Company.
A sales contract for the Products will be established when the Company sends an email confirming the acceptance of the order to the user.
Notwithstanding the provisions of the preceding paragraph, if any fraudulent or inappropriate behavior is found in connection with the use of this Service, the Company may cancel or terminate the sales contract and take other appropriate measures.

[Article 12: Payment Method]
The payment amount includes the purchase price of the Product, consumption tax, and shipping fees.
Payment for Products purchased through this Service shall be made by credit card or other payment methods approved by the Company.

[Article 13: Product Returns, etc.]
Product returns are not accepted, except in cases of damage during shipping, defects in the product, or incorrect products. Returns or exchanges for defective products or cancellations of contracts will only be accepted if the product is returned within the period specified by the Company after the user has received the product.
Members and users shall return products in accordance with the methods specified in the Company's usage guide.

[Article 14: Disclaimer Regarding Products]
The warranty for Products sold through this Service shall comply with the contents of the warranty card attached to the product unless otherwise specified. The Company does not provide any warranties regarding the quality, performance, compatibility with other products, or any other aspects not specified in the warranty card.
The Company is exempt from liability by contacting the member at their registered contact address or delivering the product to the shipping address specified during membership registration.
The Company is not liable for any damages, losses, or disadvantages arising from the use of this Service or the Products sold through this Service, except as provided in the preceding Article.

[Article 15: Management of Information]
The Company reserves the right to use any comments or information transmitted by users through this Service, and may delete such information without prior notice to the user if it falls under any of the following:

If the information clearly infringes on the copyrights or other rights of the Company or third parties, or if it is deemed to damage the reputation or trust of the Company or third parties
If the Company receives a warning from a third party claiming that the information infringes on their copyrights or other rights, or damages their reputation or trust
If the information clearly violates Japanese or applicable foreign laws
If ordered by public authorities to delete the information

[Article 16: Maintenance of the Service]
The Company may suspend the provision of all or part of this Service without prior notice to users in the following cases:

If regular or emergency system maintenance is required
If the system operation becomes difficult due to fire, power outage, or obstruction by third parties
If the Company deems it necessary to suspend the system for other unavoidable reasons

[Article 17: Other Disclaimers]
The Company is not liable for any damages resulting from the user's inability to use this Service.
The Company is exempt from liability by processing transactions according to the information registered by the user.
If a user causes damage to other users or third parties by using this Service, the user shall resolve the issue at their own responsibility and expense and shall not cause any inconvenience or damage to the Company.

[Article 18: Miscellaneous]
In principle, communication between the Company and users shall be conducted via email.
If a problem arises that cannot be resolved through these Terms or the Company's guidance, both the Company and the user shall discuss the matter in good faith to resolve the issue. If legal action becomes necessary in connection with the use of this Service, the Kobe District Court shall have exclusive jurisdiction for the first trial.
